The company said in a stock exchange filing that the four companies, in which it has substantial holdings, had delivered their written acceptances to ALR.
The four toll concession holders are Kesas Holdings Bhd, Sprint Holdings, Litrak Holdings and Smart Holdings.
Gamuda said the offer to each company had been made by ALR on a standalone basis and was mutually exclusive from each other, Bernama reported.
It said the concessionaires would hold separate negotiations with ALR to finalise the terms and conditions of the proposed takeover.
Gamuda had announced on April 4 that ALR had offered a total of RM2.3 billion to buy its stakes in the four concessionaires – 70% of Kesas; 51.6% of Sprint; 43.2% of Litrak; and 50% of Smart.
ALR had also offered to buy the rest of the shares in the four companies, at RM1.24 billion for Kesas; RM1.81 billion for Sprint; RM2.12 billion for Litrak; and RM313 million for Smart.
Litrak Holdings, in a separate filing, said the proceeds of the sale would be distributed to its shareholders.
Sprint Holdings shareholder Kumpulan Perangsang Selangor Bhd (KPS) had said earlier that Sprint, in which KPS holds a 20% stake, had also accepted the ALR offer.
