Worldwide Holdings sued for breaching agreements

A clean energy group is claiming RM368 million in damages over attempts to vary the terms of a waste-to-energy project.

Property development group Worldwide Holdings Bhd (WHB) has been sued for allegedly breaching agreements for a waste-to-energy project.

Western Power Clean Energy Sdn Bhd (WPCE), its partner in a RM1 billion solid waste disposal treatment system, is seeking damages amounting to RM368 million.

The two companies signed a joint development agreement in December 2018 to jointly develop, construct, manage, operate and maintain a thermal treatment facility for waste management and conversion of waste to energy.

The facility was to be located in Jeram.

A special purpose vehicle (SPV), known as Worldwide Green Energy Sdn Bhd (WGE), was set up to manage the project.

WPCE holds a 45% stake in the SPV while the remaining 55% is in the hands of WHB.

WPCE was to fully underwrite the cost of the project.

When contacted by FMT Business today, WPCE said it fulfilled all the terms and conditions of the joint development agreement and shareholding agreement by 2021.

However, in November 2021 and June 2022, WHB sought to be the sole authority in managing the financing of the SPV and to raise its stake in it.

WPCE said this was a breach of both the joint development and shareholding agreements.

In a press release dated May 29 but only sent to the media today, WPCE said the suit was filed at the Shah Alam High Court and has been fixed for case management on June 21.
